These Terms of Service ("Terms") govern your access to and use of the Cloudless website, desktop application, mobile applications, and related services provided by ROHIT KUMAR, a sole proprietor registered under the trade name Software Development Consultant ("Cloudless", "we", "us", or "our").
By accessing or using Cloudless, you agree to these Terms. If you do not agree, do not use the service.
1. Service Description
Cloudless provides software and related services for encrypted backup and restore workflows using supported third-party storage providers selected by the user.
Cloudless is software-as-a-service and software distribution. It is not a bank, cloud storage provider, or managed file hosting service.
2. Eligibility
You may use Cloudless only if:
- you are at least 18 years old
- you have authority to enter into these Terms
- your use complies with applicable law
If you are using Cloudless on behalf of an organization, you represent that you have authority to bind that organization.
3. Accounts
You may need to create an account to access paid or protected features.
You agree to:
- provide accurate and complete information
- keep your credentials secure
- promptly update account information if it changes
- notify us if you suspect unauthorized access
You are responsible for activity under your account.
4. License and Permitted Use
Subject to these Terms, Cloudless grants you a limited, non-exclusive, non-transferable, revocable license to use the software and service for your internal personal or business backup purposes.
You may not:
- reverse engineer or attempt to derive source code except where prohibited by law
- resell, sublicense, or redistribute the service except as expressly permitted
- use the service to violate law or third-party rights
- interfere with the service, infrastructure, or security controls
5. User Responsibilities
You are responsible for:
- your devices and local environment
- maintaining access to your chosen storage provider
- maintaining sufficient storage capacity
- verifying backups and restore workflows for your own use case
- securely storing your passphrase, recovery material, and credentials
If you lose required recovery or encryption credentials, Cloudless may be unable to help you recover access to backup data.
6. Pricing, Billing, and Plans
Cloudless may offer free plans, recurring subscription plans, trial plans, and one-time purchase plans such as lifetime access offers.
Current pricing, plan limits, and included features are shown on the pricing page or checkout flow and may change over time for new purchases.
6.1 Subscriptions
For recurring subscriptions:
- you authorize the applicable payment provider to charge your selected payment method
- subscriptions renew automatically unless canceled before the next renewal date
- taxes may be charged where required
- plan changes may take effect immediately or at the next billing cycle, depending on the offer
6.2 Trials
If a free trial is offered:
- trial eligibility may be limited per person, account, organization, or payment method
- a paid subscription may begin automatically after the trial unless canceled before trial end
6.3 Lifetime or One-Time Plans
If Cloudless offers a one-time or "lifetime" plan, "lifetime" means the life of that plan as offered by Cloudless, not the lifetime of the user. A lifetime plan does not guarantee perpetual operation of the service, and Cloudless may discontinue, modify, or replace lifetime plans where reasonably necessary, including for security, legal, infrastructure, or viability reasons.
We may modify features, infrastructure, and support scope of lifetime plans over time. Where Cloudless materially reduces the scope of a lifetime plan, we will use reasonable efforts to give advance notice to affected users.
The same disclosure is presented at the point of purchase for lifetime plans, and completing the purchase confirms acknowledgement of this limitation.
7. Refunds and Cancellation
Your purchases are governed by our Refund and Cancellation Policy, which forms part of these Terms.
8. Acceptable Use
You must not use Cloudless to:
- violate applicable law
- infringe intellectual property or privacy rights
- store, distribute, or facilitate malware
- abuse, probe, or disrupt our systems
- process content or operate businesses prohibited by our Acceptable Use Policy
We may suspend or terminate accounts that violate these Terms or our policies.
9. Third-Party Services
Cloudless may rely on third-party providers for payments, infrastructure, email, analytics, authentication, and storage integrations.
Your use of third-party services is governed by their own terms. Cloudless is not responsible for third-party outages, account suspensions, policy changes, or data practices outside our control.
10. Availability and Beta Features
Cloudless is provided on an "as is" and "as available" basis.
We do not guarantee:
- uninterrupted service
- error-free operation
- compatibility with every environment
- that backup or restore will succeed in every scenario
We may label certain features as beta, preview, or experimental. Those features may be changed or removed at any time.
11. Suspension and Termination
We may suspend or terminate access if:
- you violate these Terms or our policies
- payment fails or is reversed
- we suspect fraud, abuse, or illegal activity
- continued service would create security, legal, or operational risk
You may stop using the service at any time and may cancel a recurring subscription through your billing or account settings where available.
12. Intellectual Property
Cloudless and its related software, branding, documentation, and website content are owned by ROHIT KUMAR or its licensors and are protected by applicable intellectual property laws.
13. Disclaimers
To the maximum extent permitted by law, Cloudless disclaims all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Backup software reduces risk but cannot eliminate all risk. Users remain responsible for validating backup and recovery practices for their needs.
14. Limitation of Liability
To the maximum extent permitted by law:
- Cloudless will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages
- Cloudless will not be liable for loss of data, profits, business, goodwill, or business interruption
- Cloudless's aggregate liability for claims arising out of or relating to the service will not exceed the greater of (a) the amount you paid to Cloudless in the 12 months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD 100)
Nothing in this Section limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or willful misconduct.
15. Indemnity
You agree to indemnify and hold harmless ROHIT KUMAR from claims, damages, and expenses arising from your misuse of the service, your violation of these Terms, or your violation of law or third-party rights.
16. Governing Law
These Terms are governed by the laws of India, excluding conflict of law rules.
17. Changes to Terms
We may update these Terms from time to time. Updated Terms will be posted with an updated "Last updated" date. Continued use after the effective date of the updated Terms constitutes acceptance of the updated Terms.
